Answers to commonly asked questions
Let us know who is leaving and who is stepping in, and we’ll take care of the rest. We prepare the resolutions or written consents that approve the change and file any required updates with the Secretary of State (for example, an updated Statement of Information). That way your public record and your internal records stay in sync. Clients enrolled in EMINUTES+ pay one low, predictable annual charge that covers virtually all changes an entity runs into during the year.
When you enroll, our attorneys check your entity’s status with the Secretary of State and review its filing history and organizational documents. We file anything that’s outstanding and prepare key documents that are missing, such as bylaws, an operating agreement or initial resolutions. Once that’s done, your entity is current, its records are complete and it’s ready for ongoing compliance. The review is a one-time flat fee of $295.
We can help. Our attorneys identify why the entity fell out of good standing, prepare and file the overdue filings, and guide you through any reinstatement or revivor the state requires. Once your entity is restored, our monitoring keeps it from lapsing again.
Yes. We manage entities in every U.S. state and track filing deadlines in each jurisdiction where your company is registered. That includes its home state and every state where it’s qualified to do business. Your annual Entity Management fee covers up to two jurisdictions.
