Corporate Changes
Officers, directors, and managers change. Offices move. Owners plan their estates. We prepare the documents that authorize each change, and update the Secretary of State records in every jurisdiction where the entity is formed or qualified.
- Officer and director changes: a resolution electing or appointing the new officers or directors, plus the required filings in each state
- LLC manager changes: a resolution or an Operating Agreement amendment, as appropriate, plus the required filings in each state
- Address changes: principal office and mailing address updates in every state where the entity is formed or qualified. When a firm’s office moves, we update every entity that uses that address.
- Estate-planning and family transfers: we prepare assignments and new share certificates for transfers to your trust, UTMA transfers when a beneficiary reaches adulthood, transfers from an estate to the heirs, transfers under a divorce decree or settlement, and retitling shares between spouses
- Transfers to your own entity: assignments to a holding company you wholly own
- Name changes: we prepare and file the amendment and update your records
- Share changes: amendments to authorized shares and additional issuances of shares
- Conversions and mergers: for example, converting an LLC to a corporation or changing its state of formation
- Stock certificates: we issue, cancel and reissue them to reflect each change
- Updated records: every change is reflected in your online record book and your EMINUTES Entity Management record
