How Many Corporate Directors are Required?

The answer turns on where you incorporate.  In most states, one director is required:  Delaware (one director required, see, http://delcode.delaware.gov/title8/c001/sc04/index.shtml),  Nevada (one director required, see, http://leg.state.nv.us/NRS/NRS-078.html#NRS078Sec115), New York (one director required, Bus Corp Law Sec. 702).  California, on the other hand, marches to the beat of its own drummer.  In California, the number of required directors depends on the number of shareholders. Under California law, a corporation is required by law to have at least three directors. However, the corporation may have one director if the corporation has only one shareholder; and the corporation must have at least two directors if the corporation has only two shareholders.
