Confirmation of Entity Structure
About 30 days before a filing or corporate minutes are scheduled, our system will prompt you to confirm entity structure. You can use the interface to indicate if there are changes or communicate with us regarding the entity.

Corporate Changes
Our entity management service includes address and officer changes. When an entity’s address and/or corporate officers change, we prepare a corporate resolution and file an amended state filing to update the Secretaries of State in all jurisdictions where the company does business. We only bill for the filing fee.

Bylaws
The bylaws of a corporation are the “play book” for the rules of corporate governance. Among other things, the bylaws set the date of the annual shareholders meeting. We think that bylaws are so critical to the operation of a corporation that if you do not have adequate bylaws, we will prepare them for you at no charge during the enrollment process.
Change happens
We are waiving our fees for address and officer changes. We call this an information update. We handle thousands of address and officer changes annually, and previously we were charging $35. This is now free, but only once in a 12 month period. The filing fee, if any, is billed.

Bylaws

“For more than a decade, my practice has focused exclusively on corporate governance. When I am responsible for maintaining your entity, my objective is to be so proactive that you never have to think about it again.”
Erika Easter, Attorney at eMinutes since 2007
Share Certificates
Properly issuing share certificates is one of the best ways to reduce the risk of alter ego liability. We think having share certificates is so important that if you have lost your share certificates, we will prepare a Lost Share Certificate and Indemnification Agreement and reissue the shares as part of the enrollment process at no charge.
Working with your team
We’re team players. We have developed systems to include your accountant and lawyer on our correspondence. We can even instantly and automatically provide your banker with key documents that are required to open a bank account.
Communication
Our lawyers are available to our clients to talk about entities at no additional charge. Registered users have direct access via chat to our most experienced paralegals and attorneys.
